Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into by and between Rebelstork Corporation, ("Company"), and the individual or entity identified below as the "Affiliate." This Agreement sets forth the terms and conditions of the Company Affiliate Program (the "Program").

1. Appointment as Affiliate
The Company appoints the Affiliate to promote the Company’s products as part of the Program. The Affiliate agrees to market and promote Company products in a positive and professional manner, as specified in this Agreement.

2. Affiliate Responsibilities
The Affiliate agrees to:
a. Promote the Company and/or the Company’s products using provided or approved marketing materials, maintaining the brand’s image.

b. Create content that complies with the Company’s guidelines, including any specific requirements related to branding, messaging, and disclosure of the Affiiliate’s relationship with the Company. Content should not contain any offensive, inappropriate, or harmful material.

c. Follow all applicable laws, including FTC guidelines for disclosures on social media.

d. Refrain from engaging in any activities that may reflect poorly on the brand.

e. Avoid misleading or deceptive marketing practices.

f. Maintain accurate information in their account and notify the Company promptly of any changes.

3. Compensation
Affiliates earn a commission on sales generated through their unique referral link and/or referral code. The specifics of the commission rate, payment schedule, and other details will be outlined in a separate compensation schedule provided by the Company. Payments are made monthly, provided the Affiliate meets the minimum threshold for commission payouts, as determined by the Company. Company reserves the right to not pay commissions on orders associated with referral links and referral codes that were not driven by the efforts of the Affiliate (eg. codes/links being shared on coupon websites).

4. Leaked Codes

Affiliate codes are intended for use within the creator’s approved content and community. Posting codes to public coupon forums or deal sites such as Reddit is strictly prohibited. If a code is found on Reddit or a similar site, we reserve the right to deactivate the code immediately, reverse any associated commissions, and issue a new code. The creator will be notified, and repeated violations may result in removal from the affiliate program.

5. Terms of Promotion
The Affiliate must use their unique referral link and/or code in all promotions. They are encouraged to share the link in various formats, including social media profiles, blog posts, and other digital content, provided all posts comply with applicable platform terms and align with the Company’s content guidelines. The Affiliate shall not:

  1. Use fake redirects, automated software, or other mechanisms to generate orders

  2. Share code with coupon websites

  1. Take actions that are not in good faith, such as those using any automated device, robot, iframes or hidden frames

  2. Use incentives (other than those approved by the Company) to procure orders

6. Intellectual Property
The Company grants the Affiliate a limited, non-exclusive, revocable license to use Company trademarks, logos, and approved materials for the sole purpose of promoting the Company and the Company’s products. All intellectual property remains the exclusive property of the Company. The Affiliate agrees not to alter, modify, or create derivative works based on Company materials.

7. Confidentiality
The Affiliate agrees not to disclose any proprietary or confidential information about the Company, including sales data, affiliate structures, or other sensitive information shared as part of the Program. This obligation remains in effect indefinitely, even after termination of this Agreement.

8. Compliance and Termination
Either party may terminate this Agreement at any time, with or without cause, upon written notice sent to the email address listed in their account. The Company reserves the right to suspend or terminate an Affiliate’s participation in the Program at its discretion, should the Affiliate engage in any fraudulent behavior or which may be deemed harmful to the brand, in the Company’s sole discretion. Upon termination, the Affiliate must cease all promotion of Company products, immediately discontinue use of the Company’s materials, and remove any Company-owned intellectual property from their platforms. The Company reserves the right to ask the Affiliate to delete all public mentions of the brand.

9. Representations and Warranties:
Each Participant warrants, represents and undertake that:

  1. It has the full power and authority to carry out its obligations in this Agreement.

  2. Its entry into and performance of its obligations under the Agreement shall not infringe on the rights of any third party or cause it to be in breach of any obligations to a third party.

  3. It shall comply fully with any and all applicable laws, rules and regulations in its performance under the Agreement.

10. Limitation of Liability
The Company will not be liable for any indirect, special, or consequential damages, including loss of revenue, arising from the Affiliate's participation in the Program. In no event shall either party be liable to the other for any third-party claims, including but not limited to claims arising under the Federal Trade Commission (FTC) Act or other consumer protection laws, related to false advertising, misleading representations, or violations of privacy laws that arise due to the actions or negligence of the other party. 

11. Relationship of the Parties
Nothing in this Agreement shall create any partnership, joint venture, agency, or employer-employee relationship between the Company and the Affiliate. The Affiliate shall act solely as an independent contractor in promoting Company products.

12. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings related to the Program.

14. Changes to the Terms

The Company may update these terms from time to time. Affiliate will be notified of any changes.
